Aurigen Capital Limited was established under the laws of Bermuda as an insurance holding company.  It owns all of the share capital of Aurigen U.S.A. Holdings Inc., Aurigen Reinsurance Limited, a Bermuda life and health reinsurance company, and all of the share capital of Aurigen Europe Holdings B.V., formed under the laws of the Netherlands, which in turn owns all of the share capital of Aurigen Reinsurance Company, a Canadian life and health reinsurance company.
